Hong Kong, 15 February 2023 – UMP Healthcare Holdings Limited (“UMP Healthcare”, Stock Code: 722) and Human Health Holdings Limited (“Human Health”, Stock Code: 1419) are pleased to jointly
announce today that, the two companies have entered into a Strategic Cooperation Agreement to cooperate in developing a holistic ecosystem that provides comprehensive healthcare services in Hong Kong and Macau. As the first tactic move, Human Health will invest about HK$11.6 million in a new imaging and laboratory centre managed by UMP Healthcare at Tsim Sha Tsui.
The new integrated imaging and laboratory centre (tentatively “ProCare TST Imaging Centre” or“Centre”) is an indirect non-wholly owned subsidiary of UMP Healthcare located at 2/F, 26 Nathan Road, Tsim Sha Tsui. The total gross initial investment in the ProCare TST Imaging Centre is about HK$58.0 million. Actwise Limited, an indirect wholly-owned subsidiary of Human Health, agrees to invest about HK$11.6 million, and shall hold 20% of the issued shares in the ProCare TST Imaging Centre. Another shareholder of the Centre, Pedder Healthcare Group, will invest approximately HK$14.5 million. With a gross service area of over 6,000 sq. ft., the new centre will be managed by UMP Healthcare and is expected to commence operations in March 2023, offering comprehensive imaging and laboratory services, including MRI, CT scan, ultrasound and more.

The signing ceremony was held and witnessed by UMP Healthcare and Human Health representatives today. Both listed groups expect a gradual resumption of cross-border travel as China reopen outbound
tourism and local COVID-related restrictions ease this year. The new ProCare TST Imaging Centre is set to deliver premium services to locals and visitors from the Greater Bay Area and neighbouring regions.
